1. Agreement to Terms

By accessing, registering for, or using Rulisto (the "Service"), you ("User", "you") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and any additional terms incorporated by reference. If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity and its affiliates to these Terms.

If you do not agree with any part of these Terms, you must immediately discontinue use of the Service.

2. Description of Service

Rulisto provides an automated regulatory classification tool designed to assist organizations in analyzing their Automated Decision-Making Technology ("ADMT") systems under applicable U.S. state privacy regulations, including but not limited to the California Consumer Privacy Act ("CCPA") and Colorado SB 26-189.

The Service operates a deterministic rules engine that takes questionnaire inputs provided by the User and produces a classification result ("Output"). The Output is a software-generated interpretation of self-reported data against a fixed set of decision rules. It is:

• Based solely on the accuracy and completeness of information provided by the User;
• Not a legal opinion, legal advice, or substitute for professional legal counsel;
• Not a guarantee of regulatory compliance or exemption from enforcement;
• Not a certification, accreditation, or attestation by any governmental authority;
• Subject to change as laws, regulations, and implementing rules evolve.

3. Disclaimer of Warranties

THE SERVICE AND ALL OUTPUT IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

To the maximum extent permitted by applicable law, the Company expressly disclaims all warranties, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement;
• Any warranty that the Service will be uninterrupted, error-free, or secure;
• Any warranty that the Output is accurate, complete, legally valid, or will result in regulatory compliance;
• Any warranty that the rules engine reflects the current state of any regulation or agency interpretation;
• Any warranty that reliance on the Output will constitute a defense in any regulatory investigation, enforcement action, or litigation.

4. Limitation of Liability

Zero-Liability Policy: You use Rulisto entirely at your own risk.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, OR LICENSORS BE LIABLE FOR:

• Any indirect, incidental, special, consequential, punitive, or exemplary damages;
• Loss of profits, revenue, data, business, goodwill, or other intangible losses;
• Regulatory fines, penalties, or enforcement actions arising from your reliance on the Output;
• Legal fees or costs incurred in connection with any regulatory proceeding;
• Any damages arising from unauthorized access to or alteration of your data;
• Any damages arising from errors, inaccuracies, or omissions in the rules engine or Output.

In all cases, the Company's total aggregate liability to you shall not exceed the greater of (a) the total amount paid by you to the Company in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars (USD $100.00). This limitation applies even if the Company has been advised of the possibility of such damages.

5. User Responsibilities & Indemnification

You are solely responsible for:

• The accuracy, completeness, and truthfulness of all information entered into the Service;
• Independently verifying the Output with qualified legal counsel before acting upon it;
• Maintaining the security and confidentiality of your account credentials;
• Your organization's compliance with applicable laws and regulations;
• Any decisions, actions, or omissions made in reliance on the Output.

You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, directors, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of or in connection with: (a) your use of the Service; (b) the accuracy of inputs you provide; (c) your violation of these Terms; or (d) your violation of any applicable law or regulation.

6. Scope of Output & No Guarantees

The Output generated by Rulisto, including risk classification results, legal citations, obligations summaries, and PDF dossiers, is based entirely on User-supplied information and a proprietary deterministic rules engine. The Company makes no representation that:

• The rules engine captures every nuance, exception, or evolving interpretation of applicable law;
• Any particular Output will be accepted by a regulator, court, or enforcement body as evidence of compliance;
• The cited statutory sections are current, accurate, or applicable to your specific facts;
• A "not covered" classification means your organization has no obligations under any regulation.

7. Acceptable Use

You agree not to:

• Provide false, misleading, or fraudulent information in any assessment;
• Attempt to reverse-engineer, scrape, or extract the rules engine logic;
• Use the Service for any unlawful purpose or in violation of any applicable law;
• Share your account credentials with unauthorized parties;
• Represent to any third party that Rulisto's Output constitutes formal legal advice or certification.

8. Intellectual Property

The Service, including all software, rules engine logic, UI/UX design, trademarks, and content, is the exclusive property of Novexic Labs and is protected by applicable intellectual property laws. You receive a limited, non-exclusive, non-transferable, revocable license to use the Service solely as described in these Terms. Nothing in these Terms grants you any ownership interest in the Service.

9. Payment, Refunds & Cancellation

Paid plans are billed through Dodo Payments. By purchasing a plan, you authorize us to charge your payment method. All sales are final. Subscription fees are non-refundable except where required by applicable law. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. One-Time Dossier purchases are non-refundable once the PDF has been generated and delivered.

10. Privacy & Data

Our collection and use of your personal information is governed by our Privacy Policy, incorporated herein by reference. By using the Service, you consent to the data practices described therein.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall be resolved exclusively through binding individual arbitration under the rules of the American Arbitration Association (AAA), except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction. You waive any right to participate in a class action lawsuit or class-wide arbitration.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a new effective date. Your continued use of the Service after such modifications constitutes your acceptance of the revised Terms.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
